1. Acceptance of Terms

By accessing or using the MindLattice service ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of the Terms, you may not access the Service.

2. Beta Status

The Service is currently in BETA. You acknowledge and agree that:

  • The Service may contain bugs, errors, or inaccuracies
  • The Service may be modified, suspended, or discontinued at any time without notice
  • Features and functionality may change before the final release
  • We make no guarantees about the reliability, accuracy, or performance of the Service during the beta period

3. Description of Service

MindLattice provides an invoice processing service with Xero integration. The Service allows users to upload, process, and manage invoices through integration with the Xero accounting platform.

4. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party.

5. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of MindLattice and its licensors. The Service is protected by copyright, trademark, and other laws.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of MindLattice.

6. User Content

You retain all rights to any content you submit, post, or display on or through the Service. By submitting, posting, or displaying content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, and distribute your content in any and all media or distribution methods.

You are responsible for your use of the Service, for any content you provide, and for any consequences thereof.

7. Limitation of Liability

In no event shall MindLattice, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

Whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

8. Indemnification

You agree to defend, indemnify, and hold harmless MindLattice and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Service, including any data or content transmitted or received by you
  • Your violation of any term of these Terms, including without limitation your breach of any of the representations and warranties above
  • Your violation of any third-party right, including without limitation any right of privacy or intellectual property rights
  • Your violation of any applicable law, rule, or regulation
  • Any claim or damages that arise as a result of any of your content or any that is submitted via your account
  • Any other party's access and use of the Service with your unique username, password, or other appropriate security code

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
